PHOTOGRAPHY CONTEST ENTRY AND LICENSE AGREEMENT
This Photography Contest Entry and License Agreement (“Agreement”) is entered into by the undersigned participant (“Participant”) and Magna City, Utah, a municipal corporation (“City”).
By submitting one or more photographs (“Photographs”) to the Lens of Magna Main photography contest (“Contest”), Participant agrees to the following terms:

1. Ownership and Authority.
Participant represents and warrants that: (1) Participant is the sole creator and copyright owner of the Photographs submitted. (2) The Photographs are original works and do not infringe upon any copyright, trademark, privacy right, publicity right, or other legal right of any third party. (3) Participant has full authority to grant the rights described in this Agreement. (4) No other party holds any rights that would conflict with the rights granted to the City under this Agreement.
2. Grant of License
Participant hereby grants to the City a perpetual, irrevocable, worldwide, royalty‑free, non‑exclusive license to use, reproduce, publish, display, perform, broadcast, distribute, modify, adapt, and create derivative works from the Photographs in any medium. This license includes, but is not limited to, use in City websites and social media platforms, the Lens of Magna Main website, printed publications and promotional materials, educational or informational materials, public displays or exhibitions, City documents and presentations, and advertising or promotional campaigns conducted by or on behalf of the City. The City may sublicense these rights to contractors, partners, or media outlets for purposes consistent with City communications or promotional activities.

3. Credit
The City may, but is not required to, credit Participant when using the Photographs.

4. No Compensation
Except for any prizes awarded as part of the Contest, Participant acknowledges that the City shall have no obligation to provide compensation for use of the Photographs.

5. Consent for Identifiable Individuals
Participant represents and warrants that: (1) Any identifiable person appearing in a Photograph has consented to being photographed and to the use of the image as described in this Agreement. (2) If any identifiable person is a minor, Participant has obtained consent from the minor’s parent or legal guardian. (3) Participant agrees to provide written model releases upon request by the City.

6. Compliance With Laws
Participant represents that the Photographs were taken in compliance with all applicable laws and regulations and do not depict illegal activity or conduct that would reflect negatively on the City.

7. Indemnification
Participant agrees to defend, indemnify, and hold harmless the City, its elected officials, officers, employees, volunteers, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to: any breach of Participant’s representations or warranties in this Agreement, alleged infringement of copyright or other intellectual property rights, alleged violation of privacy or publicity rights, or any other claim arising from the City’s use of the Photographs as permitted under this Agreement.

8. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Utah. Venue for any dispute shall lie in the courts located within the State of Utah.

9. Entire Agreement
This Agreement constitutes the entire agreement between Participant and the City regarding the Photographs submitted for the Contest.
